Terms and Conditions
This agreement and the parties
This contract is established between NobleCamps Switzerland (referred to as NobleCamps), and you, the client (individual, partnership, or entity) identified on the “Get a Quote” form submitted through the NobleCamps website or the signed Proposal / Course Offer. The person signing the Proposal / Course Offer, or the directors of a corporation, or partners of a partnership, will be personally accountable for any obligations not fully honoured by themselves or their entities, particularly if those entities cease operations with outstanding payments owed to NobleCamps.
This contract takes effect once you sign the Proposal or Course Offer, which also forms acceptance of the training programme and includes a link to these Terms and Conditions, and NobleCamps verifies the booking via email.
Any terms proposed, suggested, or specified by you in any format, whether written or verbal, are explicitly waived and excluded unless NobleCamps agrees in writing.
No amendment to this contract or its terms will be enforceable unless NobleCamps consents in writing.
Enquiries and Booking Process
Requests for information can be submitted by calling us, and any unique requests or changes to our terms and conditions must be confirmed in writing by us during this phase. A fully filled-out programme registration form needs to be provided to NobleCamps, either via fax or mail, and once we receive the accurately completed form, a temporary spot will be held for the attendance, pending payment as outlined below.
Fees
Training programme costs will be outlined in the quote and confirmed in the Proposal or Course Offer. Costs are subject to change, and clients should verify the final amount before signing.
Client Change Requests
Client requests to modify the training programme (e.g., content, schedule, or participant details) are valid only if submitted in writing and received by NobleCamps at least one month (30 days) prior to the programme delivery date. Modifications requested after this period may not be accommodated, and NobleCamps reserves the right to proceed with the programme as initially agreed.
Payment Terms
You agree to settle the full agreed costs (in cleared funds) before the training programme begins and within five business days of receiving the invoice. Unless NobleCamps agrees otherwise in writing, failure to pay before the programme may be considered a cancellation, and cancellation fees may apply as outlined below.
Cancellation or Postponement by Client
Cancellations and postponements must be communicated in writing and received by NobleCamps before the programme date. Penalty fees will apply as a percentage of the agreed programme costs, based on the notice period provided:
-
20 days or less: 100% of agreed programme cost payable
-
21-30 days: 50% of agreed programme cost payable
-
31 days or more: 0% penalty
Transfers and Substitutes
Transfers to other programmes may be accommodated depending on availability but will be on a standby basis only. Cancellation fees may still apply if sufficient notice is not given as above. All transfers will incur a fee of $50 per participant to cover administrative expenses.
Substitute participants with appropriate experience may be sent at short notice, and no fees will apply.
Cancellation and Rescheduling by NobleCamps
NobleCamps reserves the right to cancel or reschedule a programme at its discretion. In such cases, clients will be offered an alternative programme date or the option to withdraw, with a credit/refund provided if applicable. NobleCamps is not liable for additional expenses incurred by the client due to cancellation or rescheduling.
Copyright
All intellectual property rights in materials created for or during the programme, including promotional and training materials, shall remain the property of NobleCamps.
Programme Content
Programme content is specified in the Proposal or Course Offer and may be updated periodically. NobleCamps will strive to cover all outlined content, but this is not guaranteed. Content may be adjusted based on the number of participants if attendance is greater or fewer than planned, and if the trainer deems it necessary. Programme duration may vary based on participant numbers, class pace, and attitude. Programmes typically run from 9:30 to 16:30 with a 1-hour lunch break and mid-session intervals.
Documentation
Documentation may be provided for certain programmes and may vary in format and detail. Non-standard production, fees for documentation preparation, duplication, and licensing will be charged separately, with an invoice issued after the programme once costs are determined.
Participant Experience and Behavior
Participants are expected to conduct themselves professionally throughout the programme. Disruptive behaviour will not be tolerated.
Participants must meet the minimum requirements specified for the programme. Those who are inexperienced, underqualified, overexperienced, or overqualified may attend but should understand that benefits may be limited, and trainers cannot typically adjust content unless pre-arranged.
NobleCamps reserves the right to remove participants (without refund) if they cause disruptions, delays, or if their qualifications hinder programme delivery. NobleCamps may also halt a programme (without refund) if participant behaviour or qualifications prevent delivery as intended. Claims by other clients or participants due to such disruptions will be charged to those responsible.
No Solicitation
For twelve months following the training programme, neither party will solicit the employment or services of the other party’s personnel involved in the programme without written consent. Breach of this clause will result in liquidated damages equal to the individual’s gross salary/fees for their first twelve months in the new role, or $1,000,000, whichever is greater.
Miscellaneous
Clients (and any parties they introduce to NobleCamps representatives) must not engage in direct negotiations with NobleCamps representatives outside their duties for NobleCamps without prior approval. Any resulting loss of business will be charged to the client at $50,000 per day for each man-day of lost business, or the value of the lost business, whichever is greater.
Clients are assumed to possess necessary software licences for all programmes, regardless of training location or hardware used. Participants are liable for any damage caused to NobleCamps’ data, equipment, or premises, to the value of resulting losses. Equipment used will typically be IBM PC-compatible hardware.
NobleCamps is not responsible for theft, loss, or damage to clients’ belongings left at our premises, or for any loss resulting from attending our programmes. Valuables should not be left unattended, even if staff offer to watch them as a courtesy.
A programme is assumed to progress to the client’s satisfaction unless the client informs the trainer of discrepancies between agreed and delivered content. If appropriate, the trainer may adjust content with the agreement of all participants, if reasonable.
No Competition
By booking the programme, you agree that participants will not deliver similar programmes for any NobleCamps client or direct competitor.
Liability
NobleCamps assumes no responsibility for errors or omissions in the functionality of code, methods, or examples presented during the programme. NobleCamps does not guarantee the accuracy, completeness, or timeliness of training materials. Clients agree that NobleCamps shall not be held liable for any loss or injury resulting from the use of training materials or advice provided, whether caused by negligence or factors beyond its control.
